Lexmark is a privately held U.S.-based company, acquired in 2016 by a consortium of investors led by Ninestar.
As required for all foreign investments in U.S. companies, this acquisition was vetted and approved by the U.S. federal government’s Committee on Foreign Investment in the U.S. (CFIUS). CFIUS set forth terms which ensure the deal “posed no risk to U.S. national security.” These terms are detailed in a National Security Agreement between Lexmark and the U.S. Departments of Defense (DOD) and Homeland Security (DHS).
Lexmark’s business operations are governed by our U.S.-based board of directors, which includes three former U.S. Cabinet members and a recipient of the Nobel Prize in Physics. This structure ensures Lexmark remains fully independent and free from investor influence.
Every member of our executive leadership team and board of directors are American citizens living in the U.S. The board possesses final authority and decision-making control over all Lexmark business operations. Lexmark investors have no operational control over the company, no access to the Lexmark network, no access to source code of any kind, and no access to our customers' information.
Each year, we are audited by an independent Security Monitor appointed by the U.S. government to ensure compliance with our National Security Agreement. Lexmark has successfully passed each audit, reaffirming that Lexmark poses zero risk to U.S. national security.
Lexmark is the only provider of imaging solutions and services with supply chain vendors that are vetted and approved by the U.S. Departments of Defense and Homeland Security.
